Serving Corporation Service Company Under Florida Law
Registered agent service rests on three statutes. Section 48.091, Florida Statutes requires every Florida corporation, and every foreign corporation qualified here, to designate a registered agent and keep the registered office open from 10 a.m. to 12 noon each business day, with an agent present to accept process. Section 48.081 makes the registered agent the first stop for corporations. Since the 2022 rewrite, officers and directors become valid recipients only if there is no agent or one good-faith attempt on the agent fails. Sometimes the Sunbiz record tells a different story from the caption. Here is how to handle the common cases:
- The record names another agent. Serve that agent at its registered office. A delivery to CSC for a company that no longer uses it is a serve on nobody.
- The agent has resigned. If no replacement was filed, the entity has no agent, which opens the officer, member or manager alternatives in §48.081 or §48.062. Use the latest annual report for names.
- The entity is inactive or dissolved. A dissolved company can still be sued. Attempt any agent still listed, then follow the statutory order.
- No one on the list can be found. Section 48.161 allows substituted service on the Florida Secretary of State after diligent effort.

The return is what survives a motion to quash. Section 48.21 requires the server to note when the process came to hand, when and how it was served, and the name of the person served, plus their position when they accept in a representative capacity. For a CSC serve, check for:
